HONG KONG — 16 August 2026 — SHEIN is moving closer to one of Hong Kong’s most closely watched listings in years, but the fast-fashion company’s newly disclosed financials give investors plenty to examine before the deal reaches the market.

A post-hearing filing showed that SHEIN recorded a $99 million net loss in the first quarter of 2026, compared with net income of $395 million a year earlier. The draft prospectus did not specify the offer size, price range or final timetable.

Growth remains large, but profitability has weakened

Annual revenue climbed from $32.1 billion in 2023 to $41.9 billion in 2025. That scale confirms SHEIN’s position as a global e-commerce force. Yet its first-quarter result also reflected pressure from slowing U.S. sales and a $328 million non-cash fair-value change tied to convertible preferred shares.

The United States has become a more difficult market after the removal of the de minimis duty exemption for low-value shipments. SHEIN’s filing said U.S. revenue declined 14.3% in the first quarter to $2.04 billion, reducing the country’s share of the company’s overall business.

Hong Kong’s market now has to price the risk

SHEIN cleared the Hong Kong Stock Exchange listing committee in July, an important step after earlier efforts to list in New York and London stalled. The proposed offering is both a corporate milestone and a test of Hong Kong’s ability to attract a large international consumer listing.

Investors will be weighing rapid revenue growth against regulatory exposure, margin pressure and uncertainty over the valuation. Until the company sets a price range and begins bookbuilding, the filing offers a clearer picture of the business—but not yet the final answer on what public markets are willing to pay.
